By accessing or using the OrcaSource platform, website, or mobile application (collectively, the "Platform"), operated by OrcaSource LLC, a Missouri limited liability company ("OrcaSource," "Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and our Community Guidelines, all of which are incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform.
Your continued use of the Platform following any modification to these Terms constitutes your acceptance of the revised Terms. We reserve the right to modify these Terms at any time, with changes effective upon posting to the Platform. It is your responsibility to review these Terms periodically.
OrcaSource is a neutral, passive, classified advertising and messaging platform. The Platform enables registered users to post listings expressing what items or goods they wish to purchase ("Buyer Listings"), and enables other users to respond to those listings via private messaging. OrcaSource is NOT a marketplace, broker, dealer, auctioneer, escrow service, payment processor, shipping provider, or intermediary of any kind.
OrcaSource does not:
All negotiations, agreements, payments, and exchanges between users occur entirely outside of and independent from the Platform. OrcaSource has no visibility into, control over, or responsibility for any transaction that may arise between users. Users bear sole and complete responsibility for any transaction they choose to enter into with another user.
OrcaSource has no obligation to monitor, screen, pre-approve, or actively oversee any listings, messages, reviews, or user activity on the Platform. Users acknowledge that OrcaSource is a passive platform and that OrcaSource assumes no duty to prevent, detect, or investigate fraudulent, unlawful, or harmful conduct between users. The fact that OrcaSource may, in its sole discretion, choose to review or remove certain content does not create any obligation to do so in any other instance, nor does it create any liability for failure to act.
Nothing in these Terms shall be construed to create any agency, partnership, joint venture, franchise, or employment relationship between OrcaSource and any user. Users act solely on their own behalf at all times. No user has any authority to bind OrcaSource to any obligation, representation, or warranty of any kind.
OrcaSource is an interactive computer service provider as defined under Section 230 of the Communications Decency Act, 47 U.S.C. § 230. OrcaSource is not the publisher or speaker of any user-generated content posted on the Platform and shall not be treated as such. We expressly reserve all protections and immunities afforded under Section 230 and applicable federal and state law.
The Platform is intended solely for users who are eighteen (18) years of age or older. By creating an account or using the Platform, you represent and warrant that you are at least 18 years of age. If you are under 18, you are strictly prohibited from using the Platform. OrcaSource reserves the right to terminate any account upon discovery that the account holder is under 18, without notice or liability.
You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
Users may maintain only one active account. Creating multiple accounts to circumvent suspensions, bans, or Platform limitations is strictly prohibited and may result in permanent removal from the Platform.
If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" in these Terms shall include both you individually and the entity you represent.
The Platform allows users to create Buyer Listings describing items or goods they are seeking to purchase. Listings are user-generated content for which OrcaSource bears no responsibility. OrcaSource does not review, approve, verify, endorse, or guarantee any Buyer Listing or any information contained therein.
You represent and warrant that all content you post in any Buyer Listing or message is accurate, lawful, and does not infringe upon the rights of any third party. You are solely responsible for the content of your listings and all communications made through the Platform.
By posting any content on the Platform, including listings, messages, reviews, photos, or other materials, you grant OrcaSource a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, display, reproduce, distribute, and modify such content solely for the purpose of operating, improving, and promoting the Platform. You retain ownership of your content subject to this license.
OrcaSource reserves the right, but not the obligation, to review, edit, remove, or refuse to display any user content at any time and for any reason, including but not limited to content that violates these Terms, our Community Guidelines, applicable law, or that we determine in our sole discretion to be harmful, offensive, or otherwise inappropriate. Exercise of this right does not constitute an assumption of any duty to monitor content.

Users may report suspected violations of these Terms using the reporting features available on the Platform. OrcaSource will review reported content in its sole discretion and take action it deems appropriate, which may include removing content, suspending accounts, or reporting conduct to law enforcement.
Buyer Listings on the Platform may be ranked and displayed to other users based on a combination of factors including but not limited to: recency of posting, user engagement metrics (such as saves, clicks, views, and comments), category relevance, and search query relevance. These ranking factors are applied algorithmically and without human editorial judgment regarding the merits of any particular listing or user.
OrcaSource may offer optional paid promotional features that increase the visibility or placement of a Buyer Listing within the Platform ("Promoted Listings" or "Listing Boosts"). Payment for a promotional boost affects only the placement and visibility of a Buyer Listing within the Platform. Paid promotion does not constitute and shall not be construed as:
Promoted Listings are advertisements for listing visibility only. All promoted content may be labeled as such at OrcaSource's discretion.
OrcaSource makes no guarantee that any listing, whether promoted or organic, will receive any particular level of visibility, engagement, responses, or result in any transaction. Refunds for promotional purchases are governed by our Refund Policy, which may be updated from time to time.
The Platform provides a private messaging feature to allow users to communicate with one another in connection with Buyer Listings. This messaging system is provided as a convenience only. OrcaSource may retain and access message data as necessary for platform functionality, safety review, legal compliance, or enforcement of these Terms. OrcaSource does not otherwise monitor, read, or review private messages except as required by law or as necessary to investigate reported violations of these Terms.
OrcaSource is not responsible for the content of any private messages exchanged between users. Users are solely responsible for their communications and any consequences arising therefrom. Any agreements, representations, or commitments made through the messaging system are solely between the users involved and are not binding on OrcaSource in any way.
Users may not use the messaging system to harass, threaten, defraud, spam, or otherwise abuse other users. OrcaSource reserves the right to terminate messaging privileges for users who violate these Terms.
Following a transaction, users may have the opportunity to leave reviews or ratings of their experience with another user. Reviews are user-generated content and represent solely the opinion of the reviewing user. OrcaSource does not verify the accuracy of any review and does not endorse any review or the opinions expressed therein.
If no review is submitted within fourteen (14) days following the completion of a transaction as tracked on the Platform, the transaction may be automatically marked as "complete" with no rating assigned. This automatic completion does not constitute any endorsement, verification, or approval of the transaction or any party involved.
Reviews must be honest, accurate, and based on actual experience with the user being reviewed. Users are prohibited from posting false, defamatory, harassing, or retaliatory reviews. OrcaSource reserves the right to remove any review that violates these Terms or our Community Guidelines.
Users who post reviews agree not to make false statements of fact about other users. Any review that contains knowingly false statements of fact, constitutes unlawful defamation, or is posted with malicious intent may be removed by OrcaSource in its sole discretion. Removal of a review by OrcaSource does not constitute a finding regarding the truth or falsity of the review's content.
OrcaSource shall have no liability whatsoever for any reviews posted by users, including any claims arising from defamation, invasion of privacy, or other causes of action related to review content, to the fullest extent permitted by applicable law and Section 230 of the Communications Decency Act.
Users may reference brand names, trademarks, and product names (such as Panini, Pokémon, Topps, Ford, Apple, or others) in their Buyer Listings solely for the purpose of accurately identifying the specific items they are seeking to purchase. Such references are permitted under the doctrine of nominative fair use and do not imply any affiliation, sponsorship, endorsement, or partnership between OrcaSource and any brand, trademark owner, or manufacturer.
OrcaSource is not affiliated with, endorsed by, sponsored by, or in any way officially connected with any brand, manufacturer, or trademark owner whose name may appear in user-generated listings on the Platform. All trademarks, service marks, and trade names referenced in user listings are the property of their respective owners.
All content, design elements, software, logos, and other materials created by OrcaSource and displayed on the Platform are the intellectual property of OrcaSource LLC and are protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any OrcaSource intellectual property without our express written consent.
OrcaSource respects intellectual property rights and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that content on the Platform infringes your copyright, please submit a written DMCA notice to our designated agent at orcasourcemarketplace@gmail.com including all information required under 17 U.S.C. § 512(c)(3). Counter-notices may be submitted in accordance with 17 U.S.C. § 512(g).
OrcaSource does not process, handle, hold, receive, or transmit any payments between users. Any financial transaction between users occurs entirely outside of the Platform through third-party payment services or other means chosen solely by the users involved.
OrcaSource strongly recommends that users utilize payment methods that offer buyer and seller protection features, such as certain credit cards or established payment platforms that offer dispute resolution services. This recommendation is provided as general guidance only. OrcaSource makes no representation regarding the adequacy, availability, or outcome of any protection offered by third-party payment services.
OrcaSource shall have no liability whatsoever for any financial loss, fraud, theft, non-payment, non-delivery, or other financial harm arising from any transaction between users, regardless of whether OrcaSource recommended any particular payment method.
You acknowledge and agree that engaging in transactions with other users of the Platform carries inherent risks, including but not limited to fraud, misrepresentation, non-performance, item misrepresentation, financial loss, and physical harm. You voluntarily assume all such risks when choosing to interact with other users or enter into any transaction arising from a Buyer Listing. OrcaSource shall bear no responsibility for any harm, loss, or damage you suffer as a result of your voluntary decision to transact with another user.
OrcaSource provides general safety guidance regarding common scam patterns through its Community Guidelines and safety resources. By using the Platform, you acknowledge that you have read and understood any such warnings and that you understand OrcaSource cannot and does not guarantee the honesty, legitimacy, or good faith of any user. You agree to exercise your own independent judgment and due diligence before engaging in any transaction with another user. Common scam patterns include but are not limited to: requests for payment via gift cards or wire transfer, offers that appear too good to be true, requests to communicate outside the Platform, and pressure to complete transactions quickly. OrcaSource strongly encourages users to report suspected scam activity immediately using the Platform's reporting features.
Your use of the Platform is entirely at your own risk. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORCASOURCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ORCASOURCE MAKES NO WARRANTY OR REPRESENTATION REGARDING: (A) THE IDENTITY, LEGITIMACY, OR TRUSTWORTHINESS OF ANY USER; (B) THE ACCURACY, AUTHENTICITY, LEGALITY, OR QUALITY OF ANY ITEM DESCRIBED IN ANY LISTING; (C) THE LIKELIHOOD THAT ANY TRANSACTION WILL BE COMPLETED; (D) THE OUTCOME OF ANY TRANSACTION BETWEEN USERS; OR (E) THE CONDUCT OF ANY USER ON OR OFF THE PLATFORM.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORCASOURCE LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND SUCCESSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY TRANSACTION OR INTERACTION BETWEEN USERS; (C) ANY USER CONTENT POSTED ON THE PLATFORM; (D) ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT; OR (E) ANY OTHER MATTER RELATING TO THE PLATFORM, EVEN IF ORCASOURCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ORCASOURCE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ORCASOURCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).
THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND REFLECT A REASONABLE ALLOCATION OF RISK. THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND ORCASOURCE.
You agree to indemnify, defend, and hold harmless OrcaSource LLC and its members, managers, officers, employees, agents, contractors, licensors, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) any Buyer Listing or other content you post on the Platform; (c) any transaction or dispute between you and another user; (d) your violation of these Terms; (e) your violation of any applicable law or regulation; or (f) your infringement of any third-party right, including intellectual property rights.
OrcaSource reserves the right, in its sole and absolute discretion, to suspend, restrict, or permanently terminate any user account and to remove any listing or content at any time, with or without notice, and without liability to you, for any reason including but not limited to: violation of these Terms, suspected fraudulent or illegal activity, harm to other users or the Platform, or any conduct we deem inconsistent with the spirit or purpose of the Platform.
Upon termination of your account, your right to access and use the Platform immediately ceases. OrcaSource may, but is not obligated to, retain your content or account data following termination. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 2, 9, 11, 12, 13, 14, 16, and 17.
You may terminate your account at any time by contacting us or using the account deletion feature within the Platform, if available. Termination of your account does not relieve you of any obligations or liability incurred prior to termination.
Before initiating formal dispute resolution, you agree to first contact OrcaSource at orcasourcemarketplace@gmail.com and attempt to resolve the dispute informally for a period of thirty (30) days. OrcaSource will attempt to resolve the dispute informally as well.
If the dispute is not resolved informally, you and OrcaSource agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform, including the validity, enforceability, or scope of this arbitration provision, shall be resolved exclusively by final, binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as modified herein. The arbitration shall be conducted in Springfield, Missouri, or remotely if agreed by the parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ORCASOURCE EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, OR OTHER CONSOLIDATED PROCEEDING. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims for intellectual property infringement may be brought in court without first submitting to arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Greene County, Missouri.
You may opt out of the arbitration agreement by sending written notice to orcasourcemarketplace@gmail.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, email address, and a clear statement that you opt out of arbitration. Opting out does not affect any other provision of these Terms.
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. OrcaSource will never sell your personal information to third parties for monetary consideration.
OrcaSource may display third-party advertisements on the Platform or on affiliated channels. All advertising content is provided by third parties and does not constitute an endorsement by OrcaSource of any advertiser, product, or service. Any advertising conducted by OrcaSource on third-party platforms such as social media is conducted through separate accounts and is governed by the terms of those platforms. OrcaSource is not responsible for the content or practices of any third-party advertiser.
These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and OrcaSource with respect to the Platform and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
OrcaSource's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without OrcaSource's prior written consent. OrcaSource may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
OrcaSource shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government action, internet outages, or third-party service failures.

OrcaSource offers an optional "Bounty Hunter" feature that allows buyers to attach a finder's fee percentage to their listings ("Bounty"), and allows other users ("Bounty Hunters" or "BH") to claim that they can locate a suitable seller. The following additional terms apply to all users who post a bounty-enabled listing or who claim a bounty:
Bounty Hunters are independent third parties, not agents, contractors, employees, or representatives of OrcaSource in any capacity. OrcaSource has no control over, and no responsibility for, the actions, representations, or conduct of any Bounty Hunter.
OrcaSource does not verify, evaluate, screen, or endorse any bounty claim. OrcaSource makes no representation that any Bounty Hunter has the ability to find a qualifying seller, that any item exists, or that any item meets the buyer's requirements. Buyers engage with Bounty Hunters entirely at their own risk.
All bounty finder's fees are agreed upon, negotiated, and paid entirely off-platform, directly between the Buyer and Bounty Hunter. OrcaSource does not process, collect, hold, or transmit any bounty payment. OrcaSource bears no responsibility for any bounty payment that is disputed, withheld, not made, or otherwise not completed.
By posting a listing with a bounty attached, Buyers acknowledge and agree that if a Bounty Hunter locates a qualifying seller and the parties enter into a deal that is completed, the Buyer agrees to pay the Bounty Hunter the stated finder's fee percentage of the final agreed deal price. This obligation exists solely between the Buyer and the Bounty Hunter; OrcaSource is not a party to this obligation and has no ability to enforce payment.
A Bounty Hunter's claim on a listing creates no guarantee that the Bounty Hunter will find a qualifying seller, that a deal will be completed, or that any particular outcome will result. Claiming a bounty does not create any exclusive or binding obligation on the part of the Buyer.
OrcaSource is not responsible for and shall have no liability arising from any dispute between a Buyer and a Bounty Hunter regarding whether a bounty has been earned, whether a deal qualifies, the amount owed, or any other matter related to a bounty arrangement. OrcaSource may, in its sole discretion, offer a non-binding dispute review process as a courtesy, but any such review does not create any legal obligation on OrcaSource or either party.
Bounty Hunters are strictly prohibited from: (a) creating fake or shill accounts to simulate or manufacture a bounty claim; (b) colluding with sellers to artificially inflate prices or create fraudulent transactions in order to collect a bounty; (c) misrepresenting their ability to locate a qualifying item or seller; (d) submitting duplicate, bad-faith, or fraudulent bounty claims; or (e) any other conduct intended to improperly obtain a finder's fee. Violation of this section may result in immediate account suspension and may be referred to law enforcement.
OrcaSource may award a "Bounty Hunter" badge or status designation to users who complete a threshold number of successful bounty transactions as tracked on the Platform. This badge is a cosmetic designation only and does not create any certification, endorsement, professional status, or guarantee regarding the user's abilities, trustworthiness, or conduct. OrcaSource reserves the right to revoke any badge or status designation at any time in its sole discretion.
OrcaSource reserves the right, at its sole discretion, to modify, suspend, or permanently discontinue the Bounty Hunter feature, to remove bounty functionality from any listing, or to revoke a user's ability to post bounty-enabled listings or claim bounties, at any time and without notice or liability.
By using OrcaSource, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
